SPI resolution 2026-08-10.mcs.1: Approval of Capital Expenditure for Executive Infrastructure and Data Security DRAFT
WHEREAS, the President has successfully utilized personal hardware to manage organizational affairs for approximately twenty (20) years without organizational expenditure; and
WHEREAS, the President’s personal hardware has recently experienced a catastrophic and unrecoverable failure, disrupting operational workflows; and
WHEREAS, the Board of Directors finds it in the best strategic, legal, and financial interest of Software in the Public Interest, Inc. to maintain strict digital data segregation between personal and corporate data to protect institutional intellectual property and donor privacy; and
WHEREAS, SPI has previously established a precedent for such infrastructure investments by authorizing a similar hardware expenditure for SPI Treasurer Héctor Orón Martínez in 2024 within a EUR 1,700 budget allocation;
NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors hereby authorizes a capital expenditure not to exceed $2,200.00 from the SPI general fund (allowing a small buffer for shifting tax or shipping rates) for the purchase of an organization- owned ThinkPad T14 Gen 7 AMD laptop, internal memory/storage upgrades, and an encrypted backup storage solution for the official use of the President; and
BE IT FURTHER RESOLVED, that this equipment shall remain the sole property of Software in the Public Interest, Inc., to be maintained on the corporate asset register, and that the corporate officers are authorized to take all actions necessary to execute this procurement effective immediately.
